Non-Professional Subscriber Certification

This Certification governs access to and use of Evergreen Solutions’ proprietary software, indicators, scripts, tools, and any related documentation or outputs (collectively, the “Software”). It supplements— and does not replace—Evergreen Solutions’ Terms of Use and Trading Risk Disclosure & User Agreement.

1) Definitions

•  Non-Professional Subscriber: A natural person using the Software solely for their own personal accounts, not on behalf of any business, firm, desk, client, group, or third party; not registered/licensed with a financial regulator or SRO; and not employed/contracted by a financial institution, broker-dealer, bank, FCM/RFED, investment adviser, CTA/CPO, exchange, data vendor, or similar entity. 

• Professional Use: Any use that does not meet the Non-Professional Subscriber definition, including but not limited to: use at/for a firm; use for client accounts; paid signal/copy-trade services; research teams; desks; or use by registered/licensed persons. 

• Prop Firm Employee: Any W-2 or 1099 individual engaged by a proprietary trading firm (or affiliates) to trade, supervise, research, develop, operate infrastructure, provide signals, or otherwise act on behalf of the firm. Prop Firm Employees are not eligible for the Non-Professional license. 

• Funded Prop Account Holder: A natural person not employed by a prop firm who trades only their own funded/evaluation sub-account provided by a prop firm as a customer, receives payouts personally, and uses only the firm’s standard customer portal—not internal firm tools/systems. A Funded Prop Account Holder may use a Non-Professional license so long as all Non-Professional requirements are met.

Notice: Receiving payouts from a funded prop account does not by itself convert a user to Professional. Use becomes Professional if the user (i) acts on behalf of a firm/desk/clients, (ii) manages or influences other traders’ accounts, (iii) accesses internal firm resources beyond a customer portal, (iv) provides paid or free signals/copy-trade services, or (v) is otherwise registered/licensed or employed in a financial capacity. 

2) Subscriber Representations & Warranties 

By purchasing, downloading, installing, activating, or using the Software, you represent and warrant that: 

1. Status. You are a Non-Professional Subscriber as defined above. You are not a Prop Firm Employee, and you are not using the Software on behalf of any business, firm, desk, fund, or client. 

2. Funded Prop Accounts. If you trade a funded prop sub-account, you do so solely for your own benefit and only through customer-level access; you are not using firm systems to disseminate or execute for others. 

3. No Redistribution/No Advisory. You will not redistribute, rebroadcast, resell, or publicly disclose signals, parameters, or outputs; you will not operate copy-trade rooms, paid channels, signal services, or advisory services using the Software. 

4. No Third-Party Execution. You will not use the Software to trade, direct, or influence orders for any account other than your own personal accounts. 

5. Change of Status. You will promptly stop using the Non-Professional license and contact Evergreen Solutions to obtain a Professional license if your status changes. 

6. Compliance. You will comply with all policies, platform terms, exchange/broker rules, and applicable laws and regulations. 

3) Scope of License (Non-Professional) 

Subject to your continued compliance, Evergreen Solutions grants you a limited, revocable, non-exclusive, non-transferable license to use the Software only for personal, non-professional purposes. All rights not expressly granted are reserved by Evergreen Solutions. 

4) Prohibited Uses

• Use by Prop Firm Employees in any capacity. 

• Use for or on behalf of any business, firm, desk, fund, client, or group. 

• Copy-trading, paid or free signal rooms, strategy resale, public posting of logic/outputs/parameters, or API relays/bots that disseminate outputs. 

• Circumventing rate limits, license checks, device/account binding, or security features. 

• Reverse-engineering, decompiling, or creating derivative works intended for redistribution. 

5) Monitoring, Watermarking, and Abuse Controls 

You consent to reasonable anti-abuse measures, including license verification, aggregate usage telemetry, device/account binding, and rate-limit enforcement. Evergreen Solutions may investigate suspected violations and suspend or terminate access at its discretion. 

6) Enforcement & Remedies 

• Verification. Evergreen Solutions may request reasonable proof of non-professional status and personal-only use for funded prop accounts. 

• Remedies. Misrepresentation or prohibited use may result in immediate suspension/termination, conversion to a Professional license, and any other remedies available at law or equity. 

• No Refund Duty. Unless required by law or explicit policy, fees are non-refundable upon termination for breach. 

7) Professional Licensing 

If you are (or become) a Prop Firm Employee, registered/licensed, or otherwise fall under Professional Use, contact support@evergreensolutions.one to discuss Professional licensing. Non-Professional access must cease immediately upon status change. 

8) Regulatory Status & No Advice 

Evergreen Solutions is not acting as a broker, dealer, investment adviser, CTA, CPO, fiduciary, or similar, and is not registered with the SEC, CFTC, NFA, FINRA, or any other regulator. The Software and outputs are for research/educational purposes and do not constitute investment advice or a solicitation to buy/sell any instrument. 

9) Risk Disclosure

Trading futures, options, and derivatives involves substantial risk and may result in losses exceeding initial capital. Past performance does not guarantee future results. Market, data, connectivity, and execution risks can cause unexpected losses. You are solely responsible for your decisions, risk limits, and position sizing.

10) Acceptance of Terms 

By purchasing, downloading, installing, activating, or using the Software, you acknowledge that you have read, understood, and agree to be bound by: (a) this Non-Professional Subscriber Certification, (b) the Terms of Use, and (c) Trading Risk Disclosure & User Agreement.

11) Miscellaneous 

This Certification is incorporated into and governed by the Terms of Use. If there is a conflict, this Certification controls for licensing status and eligibility. Evergreen Solutions may update this Certification from time to time; continued use after notice constitutes acceptance.
